Top 10 Growth Companies To Buy Right Now

This is part three of my coverage on Alcoa. The previous two parts were Alcoa and its CEO and Alcoa's business during the crisis years (2008-2010).

This article will tell the story of Alcoa in numbers. We will look at the business performance, profitability and the balance sheet.

The improvements are visible across all figures. Alcoa has better OCF, FCF and working capital. It also has a much lower capital expenditure than before. The improvements are quite drastic if one compares to the year 2008 when the new CEO took over the company.

Valuation

It is easy to value the company on a DCF basis but frankly it does not make a ! lot of se! nse to me for a cyclical stock. For a cyclical stock I rather trust the P/S analysis.

Using the last 10 years' data we see that the market has paid between $1.5 and $0.3 for each dollar in sales. The current P/S ratio of 0.44 gives you a downside of 30% and an upside of 300% from the current price.

Couple this with the fact that Alcoa is a much better company in terms of almost all measures we saw above and we are getting a very good deal at the moment. The company has a better balance sheet, a much larger TBV, less debt and the FCF has been trending upwards since the new CEO took over. At some point things will hopefully get back to normal and the stock price will recover. I will keep adding until that day comes.

The company has not seen this share price (around $9) since April 2009, apart from small dips in between. Just before the previous leg of the bull run it was trading at $18 (April 2011) and dropped to a low of $8.45 around October 2011. The shares have not recovered much since then. You have to ask yourself, with all the scary things that you can think of about Alcoa, is the situation worse than it was in the 2009 crisis? If no, the much improved company should not be trading near the same price.

Home Properties Offers Common Stock - Analyst Blog

Hot Performing Stocks For 2014

Home Properties Inc. (HME) declared an underwritten public offering of 3.5 million common shares. Additionally, this real estate investment trust (REIT) expects the underwriters to be provided with a 30-day option to purchase up to an additional 525,000 common shares.

The proceeds from the offering will be primarily utilized to fund acquisitions, and new development and redevelopment of apartment communities. Additionally, the proceeds would be used for general business purposes, which might comprise capital expenditures, payment of outstanding debt and other working capital requirements.

The sole book-running manager for the offering is BofA Merrill Lynch, a unit of Bank of America Corporation (BAC).

Though the intention of repaying debt is encouraging as it will lessen the company's interest expenses, the offering would result in share dilution.

Earlier, in 2011, Home Properties declared the sale of 5.25 million common shares through an underwritten public offering.

Some other REITs that recently announced public offering include Gladstone Commercial Corp. (GOOD) and Chatham Lodging Trust (CLDT). Gladstone declared an underwritten public offering of 1.1 million shares. The company also anticipates that the underwriters will be provided with a 30-day option to purchase up to an additional 165,000 common shares to cover any over-allotments.

On the other hand, Chatham declared a public offering of 4.5 million common shares of beneficial interest, with a par value of one cent per share. Further, to cover any over-allotments, the company furnished a 30-day option to underwriters to buy up to an additional 675,000 shares.

Home Properties currently carries a Zacks Rank #3 (Hold).

HSIC to Shed Unprofitable Stake - Analyst Blog

Leading global distributor of healthcare products and services, Henry Schein Inc. (HSIC) disclosed the divestiture of its investment in a dental wholesale distributor in the Middle East. This reflects the company's strategy to focus on areas with high growth potentials.

The Middle Eastern wholesale distributor served as an importer for Henry Schein that supplied offerings to other distributors. The company anticipates a one-time charge of $11-$13 million (13-15 cents) in the third quarter of 2013 from the divestment of its unprofitable, non-controlling interest in the entity.

Henry Schein will accordingly report third-quarter results after adjusting the impact of the one-time expenses associated with the divestment. The current Zacks Consensus Estimate is pegged at $1.20 per share, reflecting growth of 11.53% year over year.

As an entity that supplies healthcare products and services to office-based dental, medical and animal health practitioners worldwide, Henry Schein believes that the divestment will increase focus to office-based practitioners that serves as the company's primary customer base.

This underscores Henry Schein's commitment to serve the needs of office-based dental practitioners, schools and other institutions, its target market. We expect the company to sharpen focus on other high-growth geographies like the U.S., Australia and New Zealand. However, the European economy remains an overhang for Henry Schein.

Henry Schein continues to focus on its core dental business. Last month, the company's U.S. dental franchise Henry Schein Dental entered a distribution partnership with Carl Zeiss Meditec Inc. to distribute the well-regarded portfolio of ZEISS dental microscopes and loupes.

Henry Schein should be aware of similar advances made by peers in the industry. Recently, Patterson Companies Inc. (PDCO) inked a strategic distribution agreement with Sirona Dental Systems Inc. (SIRO). Henry Schein needs to take note of moves made b! y such strong rivals. The industry is plagued by pricing pressure and competitive tussle for market share gains.

Henry Schein carries a Zacks Rank #3 (Hold). Other stocks such as Align Technology Inc. (ALGN), carrying a Zacks Rank #2 (Buy) is likely to do well.

    Royal Caribbean Cruises (RCL) is one of Carnival's competitors in the cruise industry. Royal does not have the same issues as Carnival in terms of the Costa Concordia incident, but it could be impacted by discounting in cruise fares, as well as higher fuel costs. Royal Caribbean shares were recently downgraded to a strong sell by Zacks Investment Research, and a recent analyst report states:

    We are a bit doubtful about the cruising sector in the near term after Carnival's ship Costa Concordia ran aground in mid-January on Italy's west coast. The disaster hit the industry in the wake of the wave season between January and March. The recent tragedy resulted in subdued bookings. Since 2006 the company has paid 25 cents/share every quarter. Windstream has been unable to cover its dividends from earnings in every year since 2008. One the bright side cash flow from operations has been relatively stable, although the company has ramped up capex spending in recent years. Yield: 7.90%.

    Catalyst: Earnings Miss

    Communications company Windstream (WIN) is off 5% this afternoon, shoved lower thanks to an earnings miss. The firm earned 9 cents per share, while analysts' consensus estimate was 11 cents. That falls well short of the 25 cents that management has promised to pay investors in dividends, far from a strong sign that WIN's massive 12.3% dividend yield can remain tenable long-term.

    In the nearer-term, the technicals don't look much better. Windream had been looking bullish thanks to an inverse head and shoulders pattern that's been building since back in February. But today's gap down on earnings broke the pattern before it had a chance to complete, scuttling WIN's chances of recapturing highs found at the start of this year. This stock doesn't look pretty right now.

Industry Groups Fear Wagner Bill Will Stop SEC, DOL Fiduciary Rules in Their Tracks

Industry trade groups worry that a bill that was reported out of the House Financial Services Committee Wednesday and referred to the House Education and Workforce Committee for consideration will stop the Securities and Exchange Commission and Department of Labor’s fiduciary rules in their tracks.

The bill, the Retail Investor Protection Act, which passed by a 44-13 vote, was introduced by Rep. Ann Wagner, R-Mo., and would require that the Department of Labor wait to repropose its fiduciary rule until 60 days after the SEC issues its fiduciary proposal.

Wagner’s bill would also have required that the SEC conduct a more stringent cost-benefit analysis than the one it is currently undertaking, but that language was taken out by an amendment put forth by Rep. Patrick Murphy, D-Fla., and approved by voice vote.

Ranking Member Maxine Waters, D-Calif., also failed to get her bill giving the SEC the authority to assess user fees to fund advisor exams attached as an amendment to Wagner's legislation. Both House Financial Services Chairman Jeb Hensarling, R-Texas and Rep. Scott Garrett, R-N.J., rebuffed the amendment arguing that it was not "germane."

Industry trade groups sent a joint letter to the House Financial Services Committee the same day stating that “despite its name,” Wagner’s bill, H.R. 2374, “is not an investor protection bill. To the contrary, it would leave American investors with significantly less protection.”

The groups—which included the Investment Adviser Association, the Financial Planning Association, the CFP Board, the AARP, the North American Securities Administrators Association and the National Association of Personal Financial Advisors—said the bill also “imposes unnecessary and onerous rulemaking requirements that the SEC must meet before it can adopt a fiduciary rule.”

The groups also said that Wagner’s bill “linking” the DOL and SEC rulemakings would not only prevent the DOL from moving forward with a rule on the definition of fiduciary under ERISA, but the bill “potentially halts DOL’s rulemaking altogether if the SEC does not act on a fiduciary rule.”

However, Rob Smith, president of the National Association of Insurance and Financial Advisors, says NAIFA agrees with Wagner “that if the SEC is going to proceed on a rule, then they should demonstrate how the rule will resolve any harm to consumers, and that they should go before the DOL.”

Section 913 of the Dodd-Frank Act, White told the lawmakers, “added new express authority for the Commission to adopt a uniform fiduciary standard of conduct and to consider other potential options for the harmonization of the regulation of broker-dealers and investment advisers.” Although there are differing views on this issue, she said, “many investor advocates and industry participants support the establishment of a uniform fiduciary standard of conduct.”

Any rulemaking under Section 913, White went on to say, “would include a rigorous economic analysis. If, after such fact-finding and deliberations, the Commission should determine to propose a uniform fiduciary standard of conduct, H.R. 2374 would layer on new statutory requirements for the Commission to satisfy before finalizing any such rules, which could impede this investor focused initiative in what already has been a multi-year process.”

If approved by the House, the question remains whether the issue will be taken up in the Senate.

David Tittsworth, executive director of IAA, says that “assuming that the bill passes in the House, it appears that the Senate does not have any current plans to consider similar legislation.”

However, he adds, “I expect that the insurance and brokerage groups that oppose DOL’s fiduciary rulemaking will continue to be active on Capitol Hill and I would not underestimate their ability to influence members in both the House and the Senate.”

Duane Thompson, policy director for fi360, adds that while he believes “the odds of H.R. 2374 becoming law are extremely low, even if it passes the House,” if the Republicans “take control of the Senate and retain the House in the next election, then all bets are off.”

FINRA Review, Investor Choice Act Highlight Arbitration Anomalies

Two recent initiatives are intended to work in investors’ favor when it comes to the controversial practice of arbitration agreements.

First, announced Thursday, the Financial Industry Regulatory Authority will review a controversial proposal in arbitration cases that allows brokers to expunge black marks from their record. Second, introduced Aug. 2, is the Investors Choice Act of 2013, a bill intended to ensure that investors have access to the judicial system by prohibiting use of mandatory pre-dispute securities arbitration agreements.

Linda Fienberg, president of FINRA’s dispute resolution unit, told a gathering of industry attorneys late Thursday at a New York event held by the Practising Law Institute that FINRA is “looking at the issues raised by investors concerning settlement negotiations when an expungement request is involved,” according to Reuters.

Feinberg said to expect a new rule proposal on the subject as soon as April.

Reuters reported that according to a review by Seth Lipner, a New York lawyer who represents individuals in arbitration claims against the industry, brokers who asked arbitrators for expungement after investors’ cases settled succeeded 93% of the time. “Expungement is just too easy after settlement,” Lipner told Reuters.

Jonathan HenschenBut independent broker-dealer recruiter Jonathan Henschen (right) told ThinkAdvisor on Monday that “in today’s environment, getting any marks expunged from [a broker’s] record is very difficult.” To say that “it is too easy to erase some of the criticism made against them is simply not true — it is very difficult to get anything removed.”

Henschen says that in his dealings with brokers and advisors, he “comes across advisor situations frequently where we recommend that the advisor obtain a securities attorney to get frivolous marks removed from their record. Customer complaints that are denied or never pursued have no business to be on a rep's record.” Other situations “such as issues between a product company and the client where the rep is not involved are also prime examples where expungement is appropriate.”

While FINRA’s expungement review and the Investor Choice Act, introduced by Rep. Keith Ellison, D-Minn., a member of the House Financial Services Committee, are not “directly” related, Michael Canning, director of policy for the North American Securities Administrators Association, told ThinkAdvisor on Monday that they both highlight the “longstanding concerns that, for various reasons, the arbitration forum is skewed in favor of the industry.”

Arbitration, Canning adds, “acts to delay [actions by] bad actors from becoming public and deprives other investors [from getting] certain information about certain brokers. That’s one of the reasons why, in many cases, other dispute forums like court are superior because there’s not the same ability to sweep things under the rug.”

Ellison said in a statement that the Investor Choice Act “helps level the playing field” because “investors want to get back in the market, but they’re rightly wary that the game is rigged against them.” Investors, he continued, “shouldn’t have to sign away their rights in order to work with a financial advisor or broker dealer to build a secure retirement. By removing some of the unfair advantages, consumers will be more eager to invest, which will create jobs and strengthen our economy.”

The Investor Choice Act amends Section 921 of the Dodd-Frank Act to statutorily prohibit the use of mandatory pre-dispute agreements in broker-dealer and investment advisor customer contracts that restrict investors’ ability to pursue claims in the lawful forum of their choosing.

NASAA said in a statement that the Act “would not in any way prevent investors from voluntarily electing to resolve a dispute through arbitration or mediation after the facts and circumstances of the dispute have been discovered.”

A. Heath Abshure, NASAA president and Arkansas securities commissioner, added in the same statement that “investors deserve better than the current ‘take-it-or-leave-it’ approach to securities dispute resolution. Ellison’s legislation will ensure that investors have the unencumbered right to seek redress in the appropriate and desired forum.”

NASAA says it has long been concerned with the widespread use of mandatory pre-dispute arbitration clauses in customer contracts used by broker-dealers and, more recently, investment advisors. 

Section 921 of the Dodd-Frank Act gave the Securities and Exchange Commission explicit rulemaking authority to prohibit, condition or limit the use of mandatory pre-dispute arbitration agreements if it finds that doing so is in the public interest and for the protection of investors.

But Abshure notes that “although Congress gave the SEC an important tool to act in this area, in the three years since the Dodd-Frank was passed, the SEC has not exercised its authority to conduct rulemaking or, at a minimum, undertake a finding to determine the impact of mandatory arbitration on investors and the public."

The need to address this area, Abshure says, is "especially pressing given the actions by Charles Schwab" to prevent its customers from participating in class-action lawsuits.

Azz has generated strong cash flow over the last 10 years, with two slightly down years. It grew its revenue at a 10-year rate of 10.9 percent, EBITDA at 22.9 percent, and book value at 17.2 percent. In the last five years it grew cash flow at a rate of 11 percent. Its return on equity has been in the double digits since 2007 and return on assets has been declining for the last four years.

The company�� stock price fell to 52-week lows in the fourth quarter, but began to turn around when the company announced its fourth-quarter financial results. Its net sales had increased to $345.5 million in the first nine months of the year from $280 million in the same period last year. Net sales increased in both its electrical and industrial products and its galvanizing services segments after its electrical and industrial products segment revenue had decreased 20 percent for the full year ended February 2011.

The company�� future prospects will be influenced by the expansion of the solar industry. "I anticipate an overall growth rate of 2 to 3 percent in the coming year. Primoris Services (PRIM)

Primoris is a contractor and infrastructure company founded in 1946. It provides services related to construction fabrication, maintenance, replacement, water and wastewater and engineering to clients that are typically major public utilities, petrochemical companies, energy companies, municipalities and others. It doubled its size in 2009 and 2010 when it purchased the James Construction Group and Rockford Corporation, respectively. Primoris��predecessor company, Rhapsody acquisition Corp., had its IPO in 2006, and Primoris merged with Rhapsody in 2008.

Joel Greenblatt bought 59,076 shares at an average price of $13.56 in the fourth quarter. After being relatively flat since its IPO, Primoris��stock price began to rise dramatically in 2011, and Greenblatt bought on a dip in the fourth quarter. In the last year it has appreciated 87 percent.

Primoris��free cash flow and revenue in 2010 bounced back from a down year in 2009 and EBITDA grew each year in the same span of time. Return on equity and return on assets have both declined over the three years, but in the third quarter of 2011 came back strongly. ROE increased to 29.3 percent from 16.1 at year-end 2010, and ROA has increased to 11.4 percent from 4.8 percent at year-end 2010.

The third quarter was good in other ways. The company reached its highest revenue and net income in its 60-year history. However, fluctuations in revenue and earnings may occur over the next several quarters as it completes several major projects. On! November! 30, it announced $181 million in new contracts.

Caribou Coffee (CBOU)

Caribou Coffee is a gourmet coffee company that owns the second-largest number of coffeehouses in the U.S. After rising significantly in the second quarter of 2011, its stock price dropped in the fourth quarter, when Joel Greenblatt purchased it. He bought 52,794 shares at an average price of $13.27.

The company has increased revenue and EBITDA almost every year since 2005, reaching $284 million and $22.4 million, respectively, in 2010. Its return on equity and return on assets also turned positive in 2009 and increased in 2010; return on assets increased from 10.1 percent in 2009 to 15 percent in 2010, and return on assets increased 6 percent to 9.2 percent in 2010. Free cash flow, which Greenblatt typically considers highly important, has been positive only two years since 2005, in 2008 and 2009.

Cofeehouse sales have increased for the last eight quarters, including 4.1 percent in the quarter ended Oct. 2, 2011. Much of the company�� sales growth has come because it has begun selling food.

The outlook for Caribou�� growth is also positive. Daily coffee consumption increased to 40 percent of 18-24 year olds in 2011 from 31 percent of the age group in 2010, returning to its 2009 level, according to the National Coffee Drinking Study from the National Coffee Association. Caribou recently began growing as well. In the third quarter of 2011, it opened three company-owned stores, its first in over three years, and in the fourth quarter, it opened five more. For 2012, it plans to open 55 to 70 new locations and issued fiscal year 2012 net sales growth guidance of 10 percent.

NOV Upgraded to Neutral - Analyst Blog

On Jul 11, 2013, we upgraded oilfield services behemoth National Oilwell Varco Inc. (NOV) to Neutral from Underperform. Our new investment thesis is supported by a Zacks Rank #3 (Hold).

Why the Upgrade?

We like its healthy backlog, solid balance sheet and strength in international operations, particularly in the Middle East and Brazil. The Robbins & Myers acquisition will further boost NOV's earnings visibility by expanding its blowout preventer product line; a critical safety machine for a well. The recent influx of offshore rig awards adds to the positive sentiment.

Detailed Analysis

Houston, TX-based NOV is one of the biggest manufacturers of drilling equipment in the world with an impressive business model. The company's large installed base of rigs worldwide provides for a steady recurring revenue stream through demand for maintenance, parts and other expendable products.

NOV's recently completed acquisition of smaller rival Robbins & Myers will allow the energy equipment contractor to broaden scale and scope of the solutions that it offers to oil and gas customers worldwide. In particular, the move will help NOV to strengthen its position as a supplier of blowout preventer (a critical safety machine that can shut a well off in case of an emergency), as Robbins & Myers is the fourth-largest maker of such devices.

Moreover, since it commenced paying dividends in 2009, management has increased the payout every year. This indicates NOV's healthy financial position.

However, we think the current valuation is fair and adequately reflects the company's future growth prospects. Moreover, with markets remaining competitive and pricing likely to be weak, we see no obvious catalyst in NOV's business to significantly push the stock price! higher.

Stocks That Warrant a Look

While we expect NOV to perform in line with its peers and industry levels in the coming months and advice investors to wait for a better entry point before accumulating units, one can look at Forum Energy Technologies Inc. (FET) and Dril-Quip Inc. (DRQ) as good buying opportunities. Both these oilfield machineries and equipment providers – sporting a Zacks Rank #1 (Strong Buy) – have solid secular growth stories with potential to rise considerably from current levels.

Hot Tech Stocks To Watch For 2014

U.S. equities logged in strong gains last week as investors turned their attention to the beginning of Q2′s earnings season. Aluminum giant Alcoa (AA), JPMorgan Chase (JPM), and Wells Fargo & Co. (WFC) all beat Wall Street expectations. On the macro front, investors paid close attention to dovish comments from Fed Chairman Ben Bernanke and the release of the latest FOMC minutes. Bernanke stated that monetary policy would remain accomodative for the foreseeable future, even if the unemployment rate fell to the central bank's target rate of 6.5%. This week, investors will once again see many economic reports. Below, we outline three ETFs that should see a fair amount of activity during the week ahead :



1. SPDR S&P Retail ETF Why XRT Will Be In Focus: This ETF tracks an index that is comprised of the roughly 100 U.S.-listed, publicly-traded retail companies, a targeted sub-sector of the consumer discretionary space. Investors should keep a close eye on XRT on Monday as retail sales for June are reported. Analysts are expecting a slight uptick in sales from 0.6% in the previous month to 0.7% in June .

2. SPDR Gold Trust Why GLD Will Be In Focus: This physically-backed ETF offers exposure to the spot price of gold bullion. Gold prices have a history of making big swings whenever the Fed, or Chairman Bernanke, offers insights and economic commentary. As such, GLD could see a surge in trading volumes on Wednesday following Bernanke's testimony on the Semiannual Monetary Policy Report before the House Financial Services Committee.

3. Industrial Select Sector SPDR ETF Why XLI Will Be In Focus: This fund seeks to replicate the performance of the U.S. industrial sector and will be in focus this week as the Philly Fed Manufacturing Index is reported on Thursday. Analysts expect the index to fall slightly to 6.9, compared to the previous r! ecording of 12.5  .

WB: I��e never looked at the 10K of Herbalife. The key is whether it�� based on selling profits. Pampered Chef is miles away from selling to level A and level B. People get paid based on who they recruit. But people are based on selling to end user. There are thousands of parties a week selling to people who want to use the products. And that should be the distinguishing characteristic.

Charlie: And there�� likely more flim flam in selling magic potions than pots and pans.

Question: Berkshire�� returns in the last 10 years are based on repeating and extensive deals than in the past when you were a value investor doing extensive analysis. How will your successor achieve the same returns?

Warren: My successor will have more capital and when markets are in distressed fewer people have capital and willingness to commit. My successor will have unusual capital and ability to say yes. Berkshire is the 800-number when there is really panic in markets and people need capital. It�� not our main business, but fine. It will happen again. When the Dow Jones drops 1,000 points you find out who�� been swimming naked. They will call Berkshire. And Berkshire�� reputation does not rest on any single individual.

Charlie: Buffett had success in value investing because competition was less intense. It�� ridiculous to think the way he did things in the past he should have stayed in.

Warren: Goldman Sachs, GE, Bank of America are trying.

Charlie: Other people were not getting calls.

Warren: They don�� have money and speed.

Question: What are the three keys to influencing people to sell who didn�� wa! nt to sell?

Warren: There was a death at See�� and the rest of the family didn�� want to run the business, so they put it up for sale. I didn�� hear about it until after one person had already fallen through. I didn�� persuade them to sell. It traded actively, I bought key pieces and stock. Sanborn was not the most attractive business. I bought stock in the market from Stanton and Case. They were happy to sell. I never met Stanton. I did not convince them to sell their stock. I talked to Betty Peters about avoiding a transaction I thought was dumb.

Question: Over the years you have built Berkshire to be sustainable. I have difficulty explaining to people the long term sustainable advantage of Berkshire. Can you give it in a Peter Lynch two-minute speech?

Charlie: The competitive advantage is it�� getting bigger. The golden rule ��we treat people like we want to be treated. The long term competitive advantage is we are a good partner to people who need money.

Warren: Years ago a person in 60s said one year to think about selling his business. We had experience buying business years earlier, this person died and he wanted to put to bed what had happened. That one year and that if he sold to a competitor, which is a logical buyer, it would put its people in charge and it would mean it would fire his people, and come in like Atila the Hun. He could sell to a private equity firm and lose control. To me, we��e not the most attractive, but we were the only guy left standing. We promised him he could keep doing what he loved, and not worry. The competitive advantage was we had no competitor. And the shareholder base we��e developed ��we look at them as partners.

Question: I heard Warren�� way to conserve energy is to write 20 things he wanted to do, choose five and forget 15. How does that work?

Warren: Not the case. That is more disciplined than I am. Charlie and I live simple lives. We know what we enjoy and we do it pretty much now. Charlie is! a real a! rchitect now. I never made lists in my life. Maybe I should start!

Charlie: I can see here, I don�� know when it started that marketing psychology that you shouldn�� make decisions when you��e tired, and if that�� true, we live on auto pilot, it�� habitual. We don�� waste decision-making energy. We use caffeine and sugar.

Warren: When we write our book on nutrition it will be a hit.

Charlie: Warren�� style is idea for human cognition.

Question: Buying newspapers doesn�� seem to make sense economically to get a higher rate of return on a business that is smaller, and you like big elephants.

Warren: We will get a decent rate of return. Compared to Heinz we have a structural advantage because write offs and after tax return declined to 10% after tax, maybe higher. To date, we meet or beat 10%. Never move the needle. $100 million in pretax earnings would not move the needle but give a decent return. We wouldn�� have done it in another business. We promise to give figures annually of investments, but at low price to earnings.

Charlie: It�� an exception and you like doing it. That�� what I heard you say.

Warren: I wish I had no asked.

Question (Doug Kass): You suggested for the first time when you go, you would move to a more centralized approach to management. In past respect of Henry Singleton, he was 100% rational. Prior to his death Berkshire should you move Berkshire to three companies? Teradyne was harder to manage given its size. Compared to Berkshire, should you split it along business lines?

Buffett: A tiny bit more in terms of small companies. No change of significance Henry Singleton can give views on what he did right and wrong. Breaking up would not give the present result now and in the future.

Charlie: Henry Singleton�� geniun was he managed his companies more centralized than us. In the end he wanted to sell tous. He loved you and the business, but we didn�� want to issue Berkshire stock.
Warr! en: He issued stock like crazy. GM worked wonderfully if diluted created how ended up.

Charlie: We��e more avuncular than Henry Singleton was. I like us better.

Question: Taxes and deficit. What are two things policymakers can focus on to stay competitive.

Warren: Health care costs are 12% of GDP. Rivals 9.5 to 11.5%. There are only 100 cents in a dollar. Give up 8 cents just like raw material. It will be a major problem in US competitiveness. Overall since the crisis it works, but number one is health care costs.

Charlie: Grossly swollen alternatives markets. You can graduate from MIT in derivatives markets. They are crazy markets. I agree on health care but find the other more revolting.

Warren: Charlie is very Old Testament.

Most of this business is written on a proportional treaty basis, with the exception of the United States group health and disability business which is predominately written on an excess treaty basis. Lesser amounts of life and disability business are written on a facultative basis. The life/health business is marketed on a direct basis. The Berkshire Hathaway Reinsurance Group (BHRG) operates from offices located in Stamford, Connecticut. Business activities are conducted through a group of subsidiary companies, led by National Indemnity Company (NICO) and Columbia Insurance Company (Columbia). BHRG provides principally excess and quota-share reinsurance to other property and casualty insurers and reinsurers. BHRG�� underwriting activities also include life reinsurance and life annuity business written through Berkshire Hathaway Life Insurance Company of Nebraska and financial guaranty insurance written through Berkshire Hathaway Assurance Corporation.

BHRG writes catastrophe excess-of-loss treaty reinsurance contracts. BHRG also writes individual policies for primarily large or otherwise unusual discrete risks on both an excess direct and facultative reinsurance basis, referred to as individual risk, which includes policies covering terrorism, natural catastrophe and aviation risks. A catastrophe excess policy provides protection to the counterparty from the accumulation of primarily property losses arising from a single loss event or series of related events. Catastrophe and individual risk policies may provide amounts of indemnification per contract and a single loss event may produce losses under a number of contracts. U.S. Investment Corporation (USIC), through its three subsidiaries led by United States Liability Insurance Company, is a specialty insurer that underwrites commercial, professional and personal lines of insurance on an admitted and excess and surplus basis. Policies are marketed in all 50 states and the District of Columbia through wholesale and retail insurance agents. USIC companies underwrite and market 109 distinct specialty property and casualty insurance products. Medical Protective Corporation (MedPro) is based in Fort Wayne, Indiana. Through its subsidiary, the Medical Protective Company, MedPro is engaged in primary medical professional liability coverage and risk solutions to physicians, dentists, other healthcare providers and healthcare facilities.

Railroad Business

Through BNSF Railway, BNSF operates a railroad network in North America with approximately 32,000 route miles of track (excluding multiple main tracks, yard tracks and sidings) in 28 states and two Canadian provinces as of December 31, 2011. BNSF owns approximately 23,000 route miles, including easements, and operates on approximately 9,000 route miles of trackage rights that permit BNSF to operate its trains with its crews over other railroads��tracks. As of December 31, 2011, the total BNSF Railway system, including single and multiple main tracks, yard tracks and sidings, consisted of approximately 50,000 operated miles of track, all of which are owned by or held under easement by BNSF except for approximately 10,000 route! miles op! erated under trackage rights.

BNSF is based in Fort Worth, Texas, and through BNSF Railway Company operates railroad systems in North America. In serving the Midwest, Pacific Northwest, Western, Southwestern and Southeastern regions and ports of the country, BNSF transports a range of products and commodities derived from manufacturing, agricultural and natural resource industries. The United Kingdom utilities consist of Northern Powergrid (Northeast) Limited (Northern Powergrid (Northeast)) and Northern Powergrid (Yorkshire) plc (Northern Powergrid (Yorkshire)), which own a substantial United Kingdom electricity distribution network that delivers electricity to end-users in northeast England in an area covering approximately 10,000 square miles. The distribution companies primarily charge supply companies regulated tariffs for the use of electrical infrastructure. MidAmerican also owns HomeServices of America, Inc. (HomeServices), a full-service residential real estate brokerage firm in the United States. HomeServices also offers integrated real estate services, including mortgage originations through a joint venture, title and closing services, property and casualty insurance, home warranties, relocation services and other home-related services. It operates under 22 residential real estate brand names with over 14,000 sales associates and in nearly 300 brokerage offices in 20 states.

Engineered Wire & Cable, providing electrical and electronic wire and cable for energy related markets and other industries. (Fruit), Russell Brands, LLC (Russell), Vanity Fair Brands, LP (VFB), Garan and Fechheimer Brothers. Berkshire�� footwear businesses include H.H. Brown Shoe Group, Justin Brands and Brooks Athletic. Fruit, Russell and VFB (together FOL) is primarily a vertically integrated manufacturer and distributor of ba! sic appar! el, underwear and athletic apparel and products. Products, under the Fruit of the Loomand JERZEES labels are primarily sold in the mass merchandise and wholesale markets. In the VFB product line, Vassarette, Bestformand Curvationare sold in the mass merchandise market, while Vanity Fairand Lily of Franceproducts are sold in the mid-tier chains and department stores. FOL also markets and sells athletic uniforms, apparel, sports equipment and balls to team dealers; college licensed tee shirts and fleecewear to college bookstores and mid-tier merchants; and athletic apparel, sports equipment and balls to sporting goods retailers under the Russell Athleticand Spaldingbrands. Substantially all of Garan�� products are sold through its distribution centers in the United States to national chain stores, department stores and specialty stores. In 2011, over 90% of Garan�� sales were to Wal-Mart. Fechheimer Brothers manufactures, distributes and sells uniforms, principally for the public service and safety markets, including police, fire, postal and military markets. Fechheimer Brothers is based in Cincinnati, Ohio.

Justin Brands and H.H. Brown Shoe Group manufacture and distribute work, rugged outdoor and casual shoes and western-style footwear under a number of brand names, including! Justin, ! Tony Lama, Nocona, Chippewas, Born, Sofft, Carolina, Double-H Boots, Corcoran, Matterhornand Kork-Ease. Brooks Athletic markets and sells running footwear to specialty retailers under Brooksbrand. Acme manufactures and distributes clay bricks (Acme Brickand Jenkins Brick), concrete block (Featherlite) and cut limestone (Texas Quarries). In addition, Acme distributes a number of other building products of other manufacturers, including glass block, floor and wall tile and other masonry products. Acme also sells ceramic floor and wall tile, as well as marble, granite and other stones through its subsidiary, American Tile and Stone. Products are sold primarily in the South Central and South Eastern United States through Company-operated sales offices. Acme distributes products primarily to homebuilders and masonry and general contractors.

Benjamin Moore & Co. (Benjamin Moore) is a formulator, manufacturer and retailer of a range of architectural coatings, available principally in the United States and Canada. Products include water-thinnable and solvent-thinnable general purpose coatings (paints, stains and clear finishes) for use by the general public, contractors and industrial and commercial users. Products are marketed under various registered brand names, including Regal, Superspec, Moorcraft, Moorgard, Aura, Nattura, ben, Coronado Paint, Insl-xand Lenmar.

Benjamin Moore and its manufacturing subsidiaries rely primarily on an independent dealer network for the distribution of its products. Its distribution network includes approximately 100! Company-! owned stores as well as over 4,500 third party retailers representing over 10,300 storefronts in the United States and Canada. Benjamin Moore�� Company-owned stores represent several multiple-outlet and stand-alone retailers in various parts of the United States and Canada serving primarily contractors and general consumers. The independent retailer channel offers an array of products including Benjamin Mooreand Insl-xbrands and other competitor coatings, wallcoverings, window treatments and sundries. Benjamin Moore also has three color stations located in regional malls that serve as brand marketing tools. Johns Manville (JM) is a manufacturer and marketer of products for building insulation, mechanical insulation, commercial roofing and roof insulation, as well as fibers and nonwovens for commercial, industrial and residential applications. JM serves markets that include aerospace, automotive and transportation, air handling, appliance, HVAC, pipe and equipment filtration, waterproofing, building, flooring, interiors and wind energy. Fiber glass is the basic material in a majority of JM�� products, although JM also manufactures a portion of its products with other materials to satisfy the broader needs of its customers. JM regards its patents and licenses as valuable, however it does not consider any of its businesses to be materially dependent on any single patent or license. JM is headquartered in Denver, Colorado, and operates 40 manufacturing facilities in North America, Europe and China and conducts research and development at several other facilities. JM sells its products through a variety of channels, including contractors, distributors, retailers, manufacturers and fabricators.

MiTek is a provider of engineered connector products, engine! ering sof! tware and services and computer-driven manufacturing machinery to the truss fabrication segment of the building components industry. Primary customers are truss fabricators who manufacture pre-fabricated roof and floor trusses and wall panels for the residential building market, as well as the light commercial and institutional construction industry. MiTek also participates in the light gauge steel framing market under the Ultra-Spanname, manufactures and markets assembly line machinery used by the lead acid battery industry, manufactures and markets a line of masonry connector products and manufactures and markets air handling systems used in commercial building. MiTek has 34 manufacturing facilities located in eleven countries and 45 sales/engineering offices located in 17 countries.

The Shaw Industries Group, Inc. (Shaw) is a carpet manufacturer based on both revenue and volume of production. Shaw designs and manufactures over 3,000 styles of tufted carpet, tufted and woven rugs, laminate and wood flooring for residential and commercial use under about 30 brand and trade names and under certain private labels. Shaw also provides installation services and sells ceramic and vinyl tile along with sheet vinyl. Shaw�� manufacturing operations are fully integrated from the processing of raw materials used to make fiber through the finishing of carpet. The Company��Specialty Risk and Extended Warranty segment provides coverage for consumer and commercial goods and custom designed coverages, such as accidental damage plans and payment protection plans offered in connection with the sale of consumer and commercial goods in the United States and Europe, and certain niche property, casualty and specialty liability risks in the United States and Europe, including general liability, employers��liability and professional and medical liability. specialty risk business primarily covers, such as legal expenses in the event of unsuccessful litigation; property damage for residential properties; home emergency repairs caused by incidents affecting systems, such as plumbing, wiring or central heating; latent defects that materialize on real property after building or completion; payment protection to insureds if they become unable to meet financial obligations under finance contracts; guaranteed asset protection (GAP) to cover the difference between an insurer�� settlement and the asset value in the event of a total loss, and general liability, employers��liability, public liability, negligence of advisors and liability of health care providers and medical facilities.

The Company's extended warranty business covers selected consumer and commercial goods and other risks, including personal computers; consumer electronics, such as televisions and home theater components; consumer appliances, such as refrigerators and washing machines; automobiles (excluding liability coverage); furniture, and heavy equipment. The Company also serve as a third party administrator to provide claims handling and ca! ll center! services to the consumer products and automotive industries in the United States and Canada. It underwrites the specialty risk coverage on a coverage plan-level basis, which involves substantial data collection and actuarial analysis, as well as analysis of applicable laws governing policy coverage language and exclusions.

Specialty Program

The Company�� Specialty Program segment provides workers��compensation, package products, general liability, commercial auto liability, excess and surplus lines programs and other specialty commercial property and casualty insurance to a narrowly defined, homogeneous group of small and middle market companies. The type of risk covered by this segment is similar to the type of risk in Small Commercial Business but also covers, to a small extent, certain higher risk businesses. The coverage is offered through accounts with various agents to multiple insureds. Policyholders in this segment primarily include industries, such as retail, wholesale, service operations, artisan contracting, trucking, light and medium manufacturing, habitational and professional employer organizations. As of December 31, 2012, the Company underwrote 77 programs through 44 independent wholesale and managing general agents. Workers��compensation insurance consists approximately 33% of this business during the year ended December 31, 2012.

Personal Lines Reinsurance

The Company�� Personal Lines Reinsurance Segment has a 20% participation in the Personal Lines Quota Share, by which it receive 10% of the net premiums of the personal lines business.     Although I have not shed my long-standing contention that Yamana Gold offers one of the more deeply discounted vehicles for long-term gold exposure, lately my outlook for IAMGOLD has turned particularly bullish. With a looming spin-off of a 10% to 20% stake in the company's reliably profitable Niobec niobium mine, and the recent sale of its interest in a pair of high-cost gold operations in Ghana for $667 million, IAMGOLD finds itself in terrific financial shape to execute an aggressive $1.2 billion expansion imitative at existing operations.

    Considering the $1.6 billion net asset value (after tax) that IAMGOLD recently assessed for the Niobec mine alone, and a presumed hoard of more than $1.2 billion (in cash, cash equivalents, and gold bullion held for investment), at a market capitalization of $6.9 billion I find extreme comfort in the market's resulting valuation for IAMGOLD's 15.2 million ounces of attributable gold reserves.
